These Terms of Service (“Terms”) govern your access to and use of the Markov mobile application, the markov.in website, and any associated research services provided by {{LEGAL_ENTITY_NAME}} (“Markov”, “we”, “us”). By creating an account, downloading the application, or subscribing to a paid plan, you agree to these Terms.
1. Eligibility
- You must be at least 18 years old and resident in India.
- You must be legally permitted to trade in Indian securities markets, with a valid PAN and demat/trading account with a SEBI-registered broker.
- You must use your own genuine information when creating an account. Sharing accounts or credentials is prohibited.
2. Nature of services
Markov is a SEBI-registered Research Analyst (Reg. No. {{SEBI_RA_REG_NO}}). Through the application, we provide research recommendations on listed Indian equities. We do not:
- execute trades on your behalf;
- hold custody of your funds or securities;
- provide personalised investment advice;
- guarantee any specific outcome.

3. Subscriptions, billing, and refunds
- Subscriptions are billed in advance on a monthly or annual basis, as selected at checkout. Prices are exclusive of GST unless stated otherwise.
- Payments are processed by third-party payment processors (Razorpay for direct subscriptions; Google Play / App Store for in-app purchases). Your card and payment data are handled by those processors, not by Markov.
- You may cancel at any time. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial months.
- We reserve the right to refuse, suspend, or terminate service for reasons including (but not limited to) suspected fraud, abuse, credential sharing, or breach of these Terms.
4. Acceptable use
You agree not to:
- redistribute, resell, republish or otherwise share Markov research recommendations with any third party, including in Telegram groups, WhatsApp broadcasts, YouTube channels, social media, or paid copy-trading services;
- reverse-engineer, scrape, or attempt to extract our signal generation logic or underlying models;
- use the service in a manner that imposes an unreasonable load on our infrastructure, or that violates applicable law or SEBI regulations.
Breach of this section is grounds for immediate termination without refund, and may also expose you to civil and criminal liability.
5. Intellectual property
All content, software, models, and methodology underlying Markov are the exclusive property of {{LEGAL_ENTITY_NAME}} and protected under applicable copyright, trademark, and trade-secret laws. We grant you a limited, revocable, non-transferable, non-exclusive licence to use the application solely for your personal trading purposes during your subscription.
6. Disclaimers
Markov is provided on an “as is” and “as available” basis. We make no warranty that the service will be uninterrupted, error-free, secure, or that any particular signal, recommendation, or piece of data will be accurate, timely, or profitable.

7. Limitation of liability
To the maximum extent permitted by applicable law, {{LEGAL_ENTITY_NAME}}'s aggregate liability to you arising out of or in connection with the service or these Terms, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the subscription fees paid by you to Markov in the twelve months immediately preceding the event giving rise to the claim.
In no event shall Markov be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data, goodwill, or trading losses, arising out of or in connection with your use of the service, even if advised of the possibility of such damages.
8. Indemnity
You agree to indemnify and hold harmless Markov, its directors, officers, employees and agents from any claim, loss or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any applicable law or third-party right, or (c) your use of the service in a manner not permitted under these Terms.
9. Changes to the service or Terms
We may change, suspend, or discontinue parts of the service at our discretion. We may also update these Terms from time to time. Material changes will be communicated by email or in-app at least 7 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
10. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to the SEBI SCORES and SmartODR mechanisms described in the Grievance Redressal page, the courts at {{REGD_OFFICE_CITY}}, {{REGD_OFFICE_STATE}} shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
